Welcome to FindLoci.com (“FindLoci,” “we,” “us,” or “our”), a website and online storefront operated by Loci Tracking, Inc., a Delaware corporation (“Loci Tracking”). FindLoci provides access to eyewear products, connected device features, accessories, software, content, tools, and related services (collectively, the “Services”).

FindLoci.com utilizes Shopify and other third-party service providers to support ecommerce functionality, payment processing, hosting, and related services. Shopify and such providers operate independently from Loci Tracking, Inc.

These Terms of Service (“Terms”) govern your access to and use of the Services, including all purchases made through FindLoci.com. Please read these Terms carefully, as they contain important information regarding your legal rights, including limitations of liability, warranty disclaimers, mandatory arbitration provisions, and a waiver of your right to participate in class actions. By visiting, accessing, browsing, interacting with, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you may not access or use the Services.

SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms, you represent that you are at least the age of majority in your state or jurisdiction of residence, or that you have obtained appropriate parental or legal guardian consent for any minor dependents using the Services. To access certain features of the Services or place orders, you may be required to provide personal information, including billing, payment, prescription, shipping, and contact information. You represent and warrant that all information provided is accurate, current, complete, and authorized for use. You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activity conducted under your account. We reserve the right, in our sole discretion and without notice, to refuse service, limit quantities, cancel orders, suspend accounts, or terminate access to the Services.

We make reasonable efforts to accurately display and describe our products and Services. However, actual products may vary from images or renderings displayed online due to monitor settings, lighting conditions, manufacturing tolerances, product updates, or natural material variation.

We do not warrant that product images, colors, finishes, dimensions, or descriptions will be perfectly accurate or match your expectations. All product descriptions, pricing, specifications, availability, and features are subject to change without notice. We reserve the right to discontinue products, limit quantities, refuse orders, or restrict sales by customer, region, or jurisdiction.

SECTION 3 - CONNECTED FEATURES AND THIRD-PARTY ECOSYSTEMS
Certain products offered through the Services may include Bluetooth, wireless, tracking, location-sharing, rechargeable battery, or other connected functionality. These features may rely on third-party platforms, software, operating systems, networks, applications, or ecosystems, including but not limited to Apple, Google, or other third-party providers.

We do not guarantee:

uninterrupted functionality or connectivity;
continuous availability of tracking features;
precise or real-time location accuracy;
compatibility with all devices or operating systems;
future compatibility with software or operating system updates;
uninterrupted access to third-party ecosystems or services.

Third-party platforms may modify, restrict, suspend, or discontinue functionality or compatibility at any time without notice. Location data, tracking features, alerts, notifications, and device connectivity may be delayed, unavailable, inaccurate, or interrupted due to environmental conditions, network availability, device settings, operating system restrictions, interference, user behavior, or third-party platform limitations. Products containing rechargeable batteries, electronic components, or wireless features must be used in accordance with all instructions and warnings. Improper use, tampering, disassembly, modification, unauthorized repair, misuse, or exposure to extreme conditions may void any applicable warranty.

SECTION 4 - PRESCRIPTION PRODUCTS AND MEDICAL DISCLAIMER
Customers are solely responsible for ensuring that all prescription information, lens selections, pupillary distance information, shipping information, and account information submitted during checkout are accurate and complete. FindLoci and Loci Tracking, Inc. do not provide medical advice, diagnoses, eye examinations, or healthcare services. Any information provided through the Services is for general informational purposes only and is not intended to replace professional medical advice or care. Customers should consult a licensed eye care professional regarding prescriptions, eye health, or vision concerns. Prescription eyewear, custom lens orders, custom coatings, lens replacements, modified sunglasses, and any customized or made-to-order products are final sale and are not eligible for refunds, returns, cancellations, or exchanges except in cases of verified manufacturing defects or fulfillment errors.

This includes, but is not limited to:

prescription lenses;
custom tint or coating upgrades;
lens replacements;
modified sunglasses;
customized or made-to-order products.

Customers are responsible for reviewing all order details carefully before submitting an order.

SECTION 5 - ORDERS
When you place an order, you are making an offer to purchase products subject to these Terms.

We reserve the right, at our sole discretion, to refuse, limit, modify, or cancel any order for any reason, including but not limited to suspected fraud, pricing errors, inventory issues, suspected resale activity, abuse of promotions, product availability, or suspected violations of these Terms.

Orders are not accepted until payment has been successfully processed and we have issued an order confirmation. Once an order has entered production, customization, fulfillment, or shipping preparation, cancellations or modifications may not be possible.Preorder products, limited production products, or products awaiting manufacturing, regulatory approval, or certification may experience delays. Any production, shipping, launch, or delivery timelines provided are estimates only and are not guaranteed. Your purchases are for personal or household use only and may not be resold, redistributed, or exported without our prior written consent.

SECTION 6 - PRICING, BILLING, INSURANCE, AND PAYMENT
Prices, promotions, product specifications, and availability are subject to change without notice.

Unless otherwise stated, prices do not include taxes, duties, customs fees, shipping charges, insurance, or governmental fees. Customers are responsible for all applicable taxes, customs charges, import fees, or governmental assessments. You agree to provide current, complete, and accurate billing, payment, prescription, and account information for all purchases.

You represent and warrant that:

the payment information you provide is accurate and authorized for use;
charges incurred by you will be honored by your payment provider;
you will pay all applicable charges associated with your order.

FindLoci currently operates as an out-of-network eyewear provider unless otherwise expressly stated. Customers are responsible for submitting claims directly to their vision insurance provider, HSA provider, or FSA provider. Receipts may include frame information, prescription information, and pricing details for reimbursement purposes. However, reimbursement eligibility and claim approval are determined solely by the applicable insurance or benefit provider.

We make no guarantee regarding reimbursement eligibility or approval.

SECTION 7 - SHIPPING, DELIVERY, AND RISK OF LOSS
All shipping and delivery dates are estimates only and are not guaranteed.

We are not responsible for delays caused by carriers, weather, customs processing, labor shortages, supply chain disruptions, governmental actions, or events outside our reasonable control. Title and risk of loss transfer to the customer upon delivery of products to the shipping carrier. Customers are responsible for providing accurate shipping information. We are not responsible for lost, delayed, or misdelivered shipments caused by inaccurate addresses submitted by customers.

SECTION 8 - INTELLECTUAL PROPERTY
All trademarks, logos, product designs, packaging designs, software, graphics, interfaces, text, photographs, videos, content, product features, product configurations, and other intellectual property associated with the Services and products offered by Loci Tracking, Inc. are owned by or licensed to Loci Tracking, Inc. and are protected by applicable intellectual property laws.

Nothing in these Terms grants any ownership interest or license rights except for the limited right to access and use the Services for personal, non-commercial purposes.

You may not:

reproduce, distribute, modify, republish, display, or exploit any content from the Services;
reverse engineer, decompile, disassemble, analyze, or attempt to derive source code, firmware, hardware designs, or product configurations from any products or Services;
remove proprietary notices;
use our trademarks, branding, imagery, product designs, or intellectual property without prior written consent.

Unauthorized use may violate intellectual property laws and may result in legal action.

Apple, Apple Find My, Apple Watch, Find My, iPhone, iPad, iPadOS, Mac, macOS, and watchOS are trademarks of Apple Inc., registered in the U.S. and other countries. iOS is a trademark or registered trademark of Cisco in the U.S. and other countries and is used under license. The Apple Find My network provides a way to locate compatible personal items using the Find My app on supported Apple devices. Use of the Works with Apple badge means that a product has been designed to work specifically with the technology identified in the badge and has been certified by the product manufacturer to meet Apple Find My network product specifications and requirements. Apple is not responsible for the operation of this device or use of this product or its compliance with safety and regulatory standards. To use Apple Find My functionality, supported Apple hardware and compatible versions of iOS, iPadOS, macOS, or watchOS may be required.

Google, Android, Google Play, and Find Hub are trademarks of Google LLC. Use of any Apple, Google, or third-party trademarks, badges, logos, integrations, certifications, or references does not grant ownership rights in those marks or technologies to Loci Tracking, Inc. This product has been certified by Google to meet Find Hub network accessory specifications. Google is not responsible for the operation of this product or for ensuring compliance with applicable safety standards or regulatory requirements. Find Hub helps users find and connect to devices in a secure location network. Find Hub network requires Bluetooth and location services to be enabled and may require cellular service or internet access. Availability and functionality may vary by region, device, operating system, and user eligibility.

Apple, Google, Shopify, and all other third-party companies retain all rights, title, and interest in their respective trademarks, technologies, platforms, software, systems, and intellectual property.

SECTION 9 - OPTIONAL TOOLS AND THIRD-PARTY LINKS
The Services may provide access to third-party tools, integrations, insurance portals, payment processors, websites, software, or external services.

We provide access to such third-party services on an “as is” and “as available” basis without warranties or endorsements.

Your use of third-party services is entirely at your own risk and subject to the terms and policies of those third parties.

Loci Tracking, Inc. is not responsible or liable for the actions, failures, outages, errors, security incidents, policies, performance, compliance, or conduct of Shopify, Apple, Google, carriers, payment processors, insurance providers, operating systems, or any other third-party providers.

We are not responsible for the availability, functionality, accuracy, security, or practices of any third-party services or websites.

Complaints, disputes, or questions regarding third-party products or services should be directed to the applicable third party.

SECTION 10 - RELATIONSHIP WITH SHOPIFY
FindLoci.com utilizes Shopify and other third-party service providers to support ecommerce functionality, payment processing, hosting, and related services. Shopify and such providers operate independently from Loci Tracking, Inc. Loci Tracking, Inc. is not responsible for outages, interruptions, errors, security incidents, data loss, payment processing failures, or other issues caused by third-party platforms, software providers, payment processors, hosting providers, carriers, operating systems, or external services. Likewise, third-party providers, including Shopify, are not responsible for the design, manufacture, operation, warranties, fulfillment, or performance of products sold by Loci Tracking, Inc.

SECTION 11 - PRIVACY POLICY
All personal information collected through the Services is governed by our Privacy Policy.

By using the Services, you acknowledge that information submitted through the Services may be processed by Shopify and other third-party providers as necessary to provide the Services.

SECTION 12 - FEEDBACK AND USER CONTENT
If you submit reviews, comments, ideas, suggestions, photographs, videos, feedback, proposals, or other content (“Feedback”), you grant Loci Tracking, Inc. a perpetual, worldwide, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, distribute, display, and create derivative works from such Feedback for any lawful purpose.

We are under no obligation to maintain Feedback in confidence, compensate you, or respond to submissions.

You represent that any Feedback submitted by you:

does not violate any third-party rights;
does not violate any law;
is not defamatory, unlawful, abusive, fraudulent, obscene, or misleading;
does not contain malicious code or malware.

We reserve the right, but are not obligated, to remove or edit Feedback at our sole discretion.

SECTION 13 - ERRORS, INACCURACIES, AND OMISSIONS
Occasionally there may be information on the Services containing typographical errors, inaccuracies, omissions, pricing errors, product description errors, or availability issues.

We reserve the right to correct errors, inaccuracies, or omissions and to change or update information or cancel orders at any time without prior notice, including after an order has been submitted.

SECTION 14 - PROHIBITED USES
You may not use the Services:

for unlawful purposes;
to violate laws or regulations;
to infringe intellectual property rights;
to interfere with the operation or security of the Services;
to scrape, harvest, or collect data;
to deploy bots, spiders, crawlers, scraping systems, automated systems, or AI agents without authorization;

to distribute malware or malicious code;
to impersonate another individual or entity;
to engage in fraudulent or abusive purchasing behavior.

We reserve the right to suspend or terminate access to the Services for violations of these Terms.

No automated system, software agent, crawler, scraper, bot, or AI system may access or interact with the Services or any associated Apple, Google, Shopify, or third-party connected integrations without prior written consent from all applicable rights holders or platform owners.

We may restrict, block, limit, or terminate automated access to the Services at any time.

Automated systems must not:

conceal their automated nature;
impersonate human users;
bypass security measures;
circumvent rate limits or restrictions;
collect or extract data from the Services.

SECTION 16 - DISCLAIMER OF WARRANTIES
THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCI TRACKING, INC. DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, DURABILITY, ACCURACY, COMPATIBILITY, OR UNINTERRUPTED FUNCTIONALITY.

WE DO NOT GUARANTEE THAT PRODUCTS OR SERVICES WILL OPERATE WITHOUT INTERRUPTION, ERROR, DELAY, OR SECURITY ISSUES.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.

SECTION 17 - LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCI TRACKING, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, PARTNERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION:

LOSS OF PROFITS;
LOSS OF DATA;
LOSS OF USE;
BUSINESS INTERRUPTION;
DEVICE FAILURE;
LOCATION INACCURACIES;
LOST ITEMS;
DELAYS;
PERSONAL INJURY;
PROPERTY DAMAGE.

IN ALL CASES, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE APPLICABLE PRODUCT GIVING RISE TO THE CLAIM.

SECTION 18 - ARBITRATION AND CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any products purchased through FindLoci or any products owned, manufactured, distributed, licensed, or sold by Loci Tracking, Inc. shall be resolved exclusively through final and binding arbitration on an individual basis. The arbitration shall be administered by the American Arbitration Association (“AAA”) under its applicable consumer arbitration rules.

You and Loci Tracking, Inc. agree that:

arbitration shall occur on an individual basis only;
class actions, class arbitrations, representative actions, and consolidated proceedings are waived;
neither party may act as a class representative or participate as a class member;
disputes shall not be combined with claims involving other individuals.

You waive any right to a jury trial or participation in a class action lawsuit. This arbitration provision shall survive termination of these Terms. If any portion of this section is found unenforceable, the remaining provisions shall remain enforceable to the fullest extent permitted by law.

SECTION 19 - INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Loci Tracking, Inc., Shopify, and their affiliates, officers, directors, employees, contractors, licensors, and service providers from any claims, liabilities, damages, losses, or expenses arising from:

your violation of these Terms;
your misuse of the Services;
your violation of applicable laws;
your infringement of intellectual property or other rights.

SECTION 20 - TERMINATION
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason. The provisions relating to intellectual property, arbitration, limitation of liability, indemnification, warranties, and any other provisions intended to survive termination shall survive termination of these Terms.

SECTION 21 - SEVERABILITY
If any provision of these Terms is determined to be unlawful, void, or unenforceable, the remaining provisions shall remain in full force and effect.

SECTION 22 - WAIVER; ENTIRE AGREEMENT
The failure of Loci Tracking, Inc. to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms, together with any policies referenced herein, constitute the entire agreement between you and Loci Tracking, Inc. regarding the Services.

SECTION 23 - ASSIGNMENT
You may not assign or transfer your rights under these Terms without prior written consent.

We may assign or transfer these Terms without restriction.

SECTION 24 - GOVERNING LAW
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

Subject to the arbitration provisions above, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

SECTION 25 - CHANGES TO TERMS
We reserve the right to update or modify these Terms at any time.
Updated Terms become effective immediately upon posting unless otherwise stated.
Your continued use of the Services constitutes acceptance of any previous, revised, or updated Terms.
